What are Contract Terms?
Contract terms are regulations that define rules for the sale and transfer of artworks. By setting up contract terms, you can clarify the conditions for receiving royalties during secondary distribution and the handling of artworks.
Preparation for Setting Up Contract Terms
To set up contract terms, the following preparations are required:
- License application has been approved and license registration has been completed
- Download and review the contract terms template from the Create SRR screen
We provide contract terms templates in both Japanese and English versions. Please select what you need and use them. The templates may be modified as needed for your use.
Please note that since the templates are for reference only, if you have your own terms, you may use those instead.
Procedure When the Artist Sets Up Terms Themselves
1. Creating Contract Terms
- Click the "Create SRR" button from the dashboard
- Download the contract terms template from the Create SRR screen
- Enter required information in the contract terms
- Contract Terms: Basic terms content and royalty rate
2. Setting Contract Terms During SRR Issuance
- In the artwork information input screen, set the following items in the "Contract Terms" section:
- Royalty Rate (%): Set the percentage of royalties to receive during secondary distribution
- Upload Contract Terms: Upload the created contract terms
- After entering other required information, click the "Issue" button to complete artwork registration and terms setup simultaneously

Procedure When Non-Artist Primary Issuers (Galleries, etc.) Set Up Terms
1. Creating Contract Terms
- Click the "Create SRR" button from the dashboard
- Download the contract terms template from the Create SRR screen
- In consultation with the artist, enter required information in the contract terms and Artist signature to the “Contract Terms”:
- Contract Terms: Basic terms content and royalty rate (also specify distribution rate to artist)
- Artist signature to the “Contract Terms”: Artist's own signature agreeing to contract terms being set by a third party
2. Setting Contract Terms During SRR Issuance
- In the artwork information input screen, set the following items in the "Contract Terms" section:
- Royalty Rate (%): Set the percentage of royalties to receive during secondary distribution
- Upload Contract Terms: Upload the created contract terms
- In the "Private Files" section, upload the created Artist signature to the “Contract Terms”
- After entering other required information, click the "Issue" button to complete artwork registration and terms setup simultaneously
Confirmation After Setting Contract Terms
- After SRR issuance, select the relevant artwork from "Issued SRRs" in the dashboard
- You can check the set terms content from the contract terms section on the SRR viewer screen
- The set royalty rate and link to the uploaded contract terms will be displayed
Important Notes
- Contract terms can only be set by SRR primary issuers
- Only the artist themselves or primary issuers who have obtained approval from the artist to set terms are eligible. If you don't fall into this category, you cannot set contract terms
- Primary issuers refer to primary market businesses such as primary galleries that manage artists
- When a non-artist primary issuer becomes the setter, you must clarify the contract content with the artist and obtain agreement before setting
- In cases where one of joint artists becomes the setter, approval from the other artist(s) is required
- If you don't set contract terms, you cannot receive royalties during secondary distribution
- When the owner of the artwork and SRR changes, the current owner is responsible for explaining the terms content to the next owner
- We recommend consulting with specialists to ensure legal effectiveness
- If you want to change contract terms (especially royalty rates) after SRR issuance, please contact us after obtaining agreement from the current owner about the changes
